Terms of Use
The rules for using Clavesta, what you can expect from us, and what we expect from you.
Effective October 1, 2026Last updated
Please read: arbitration notice
These Terms include an agreement to resolve disputes through individual binding arbitration instead of in court, and a waiver of class actions and jury trials, with an exception for small claims court. You can opt out of arbitration within 30 days of first accepting these Terms. See Dispute resolution and arbitration.
1. Agreement
In short: by using Clavesta, you agree to these Terms and our Privacy Policy.
These Terms of Use (“Terms”) are an agreement between you and Clavesta (“Clavesta,” “we,” “us”). Clavesta is currently operated by its founder and isn’t incorporated yet; when it incorporates, the new company takes our place under these Terms and we’ll update this page. They govern your use of clavesta.com, the Clavesta web and mobile app, and related services, content and emails (the “service”). By creating an account, or otherwise using the service, you agree to these Terms. If you don’t agree, don’t use the service.
Our Privacy Policy and Community Guidelinesare part of these Terms. Some features have additional notices you accept separately in the app (the biometric notice, the background screening disclosure and authorization, and the viewing acknowledgment); those notices also apply when you use those features.
2. Who can use Clavesta
In short: adults 18 and over in the United States, one account per person.
To use the service, you must:
- be at least 18 years old and able to form a binding contract;
- live in the United States and use the service for property located in the United States;
- use your own identity and have only one account; and
- not have been suspended or banned from Clavesta, and not be barred from using the service under applicable law.
If you use the service on behalf of a business or trust that owns a property, you confirm you’re authorized to bind it to these Terms, and “you” includes that entity.
3. What Clavesta is and isn’t
In short: Clavesta is software that helps buyers and sellers find each other and stay organized. Licensed professionals do the regulated work, and we don’t take a cut of your deal.
Clavesta is a technology platform. It lets sellers list homes with seller-financed or assumable mortgage terms, lets buyers find and connect with those sellers, and provides tools (matching, calculators, chat, viewing scheduling, term sheets, a document vault and the Deal Path) that help both sides organize a private sale.
Clavesta is not a real estate broker or agent, a lender, a mortgage broker or loan originator, a loan servicer, an escrow or title company, an appraiser, a home inspector, a law firm or a tax advisor. In particular, Clavesta:
- doesn’t represent buyers or sellers, negotiate for anyone, or owe anyone fiduciary duties;
- doesn’t make, arrange, broker or fund loans, and never sets, recommends or negotiates loan terms or prices;
- isn’t a party to any agreement between members, including term sheets, purchase agreements, promissory notes or mortgages;
- doesn’t inspect, appraise, or guarantee the condition, title, value or legality of any property; and
- charges fees that never depend on whether a sale closes, and receives no compensation from title companies, loan originators or other closing providers.
Seller financing and loan assumptions are regulated. Depending on the deal and the state, a licensed residential mortgage loan originator, attorney, title or escrow company, or servicer may be required. You are responsible for getting the professional help your transaction needs.
4. Your account
In short: keep your information accurate and your login secure.
- Give accurate, current information and keep it up to date. Your display name should be your real name.
- Once you’re Clavesta Verified, your name is locked to your verified identity; changes go through support.
- Keep your password secure and don’t share your account. You’re responsible for activity on your account. Tell us right away at support@clavesta.com if you think someone else has accessed it.
- You can delete your account at any time in Settings. See the Privacy Policy for what deletion removes.
5. Clavesta Verified, Unlock and fees
In short: two one-time purchases, no subscriptions. You see the price before you pay.
- Clavesta Verified
- A one-time fee, the same for buyers and sellers, that covers identity verification (a government ID and selfie check) and, when you want in-person viewings, the safety check. Sellers must be Clavesta Verified to publish a listing. Buyers must be Clavesta Verified to see full listing details and express interest in a home. Paying the fee doesn’t guarantee you’ll pass verification.
- Unlock
- A one-time fee for Clavesta Verified buyers that lets you connect with sellers who accept your interest: the exact address, chat, viewing scheduling and the full Deal Path, with every seller, for 12 months from purchase. Buying an Unlock while one is active extends it by 12 months.
- Prices and taxes: current prices are shown in the app before you pay. Where sales tax applies, it’s calculated at checkout and added to the price. Prices may change, but a change never affects a purchase you’ve already made.
- Payment: payments are processed by Stripe under its terms. You authorize us and Stripe to charge your payment method for purchases you confirm. Clavesta never receives your full card number.
- No subscriptions: nothing renews automatically. If we ever offer a subscription, we’ll describe its renewal and cancellation terms before you buy.
- Safety checks: the safety check and its re-check every 12 months are currently included at no extra charge. If that changes, we’ll show the price before you authorize a check.
- Promotions: promotional prices or free verification (for example, for founding sellers) are subject to the terms shown with the offer.
6. Refunds
In short: Verified is refunded if the check fails because of us or our provider, or if you change your mind before it starts; an Unlock is refundable within 7 days if it hasn’t connected you with a seller yet.
- Clavesta Verified. We refund the Verified fee if verification can’t be completed because of an error by Clavesta or our verification provider (for example, a technical failure or a provider outage), or if you ask for a refund before you start the ID check (for example, because you decide not to give biometric consent). The fee isn’t refundable once your check has started and it’s declined for reasons within your control, such as an invalid, expired or mismatched ID, information that doesn’t match the recorded owner of your listed home, or a check you don’t finish.
- Unlock. You can get a full refund within 7 days of purchase if no connection has been made using it. A connection is made when a seller has accepted your interest and your Unlock has opened that conversation for you (the chat and the home’s exact address). A refunded Unlock ends immediately, and exact addresses are hidden again.
- Otherwise, fees are non-refundable, except where the law requires a refund or these Terms say otherwise (see Suspension and termination).
Request a refund in the app (Settings > Purchases, or Help) or at support@clavesta.com. Approved refunds go back to your original payment method through Stripe; your bank may take 5 to 10 business days to post them. Please contact us before disputing a charge with your bank so we can help.
7. Listings: accuracy and authority
In short: only list a home you own or are authorized to sell, and describe it honestly.
When you create a listing, you represent and promise that:
- you are the owner of record of the property or are legally authorized to sell it and offer the terms listed, and every co-owner whose consent is needed has agreed;
- the listing is accurate and not misleading, including the home’s facts and condition, the price and financing terms, and the details of any existing mortgage or lien;
- you’ll disclose any existing mortgage and understand that a sale may trigger its due-on-sale clause, and that an assumption requires the servicer’s approval;
- you’ll provide the seller disclosures and comply with the laws that apply to your sale, including fair housing, disclosure, usury and lending laws;
- you own or have permission to use your photos and content; and
- you’ll keep the listing current and mark it sold or take it down when it’s no longer available.
We compare a seller’s verified name with public property records, and property facts and value estimates may come from third-party data. Those checks and estimates can be wrong or incomplete and aren’t appraisals, title searches or legal opinions. Rule checks in the app (such as rate floors and limits) are informational and aren’t legal advice. We may decline, edit for format, pause or remove any listing at our discretion, including if ownership can’t be confirmed.
8. Fair housing
In short: everyone gets a fair shot. Discrimination isn’t allowed anywhere on Clavesta.
Clavesta is committed to equal housing opportunity. You must comply with the federal Fair Housing Act, the Equal Credit Opportunity Act where it applies, and state and local fair housing laws. You may not discriminate, or state a preference, limitation or intent to discriminate, in listings, messages, viewings or decisions, based on race, color, religion, sex (including sexual orientation and gender identity), disability, familial status, national origin, or any other characteristic protected by law where the property is located, such as age, marital status, source of income, military or veteran status, or ancestry.
Clavesta’s matching uses only the criteria buyers and sellers state about price, payments, terms, timeline and location. It never uses protected characteristics, and sellers see only a buyer’s first name, verified status and financial and timeline fit. Every verified, matched buyer gets the same access to viewings. We scan messages and listings for fair-housing violations and may block content and suspend accounts that violate this section. You can report discrimination to us or to the U.S. Department of Housing and Urban Development (HUD).
9. User conduct
In short: be honest, be respectful, keep money safe, and don’t misuse the service.
You agree to follow our Community Guidelines. In particular, you won’t:
- impersonate anyone, create fake or duplicate accounts, or misrepresent your identity, ownership, finances or intentions;
- ask anyone to send money, deposits, gift cards or crypto outside escrow, or send or change wiring instructions;
- harass, threaten, stalk, or send hateful, sexual or abusive content to anyone;
- use Clavesta to solicit, advertise, or act as an unlicensed broker, agent or loan originator for others;
- collect other members’ information, or contact them for purposes other than a genuine home sale;
- record anyone without the consent the law requires;
- use bots, scrapers or automated means to access the service, create accounts or copy content;
- probe, overload or interfere with the service or bypass its security, App Check, verification, rate limits or access rules; or
- use the service for anything unlawful, fraudulent or deceptive.
10. Message monitoring for safety
In short: we scan in-app messages to stop scams and discrimination. We never monitor calls.
You understand and consent that Clavesta uses automated tools, including AI, to scan chat messages and interest notes before delivery for fraud, scams, requests for sensitive information, pressure tactics and fair-housing violations. We may block a message, deliver it with a safety note, or hide it after review, and members of our team may review flagged messages and reports. We may keep messages and moderation records as described in the Privacy Policy and use them to enforce these Terms and respond to legal requests. We never record or monitor phone or video calls. Monitoring reduces risk but doesn’t catch everything, so stay alert.
11. Identity verification and safety checks
In short: verification and safety checks lower the risk, but they don’t guarantee anyone is safe or honest.
- Identity verification. Clavesta Verified uses Persona to check a government ID and a selfie, which involves biometric data. Before capture, you’ll see a separate biometric notice and must give written consent. See the Biometric information notice.
- Safety check. In-person viewings require a background check of sex-offender registries and criminal convictions by an independent consumer reporting agency. It runs only after you receive a standalone disclosure and sign a separate authorization under the Fair Credit Reporting Act. A result that needs review gets an individualized assessment by a person under our written policy, considering only safety-relevant offenses; you get a copy of the report, a summary of your rights and at least 5 business days to respond before any adverse decision, and you can appeal. A clear result is valid for 12 months.
- What others see. Other members see only whether you’re verified and whether your safety check is complete, never your ID, face scan, report or result details.
- Our decisions. We may decline or revoke verification or require re-verification if information doesn’t match, we suspect fraud, or the law requires it.
Verification, ownership checks and safety checks rely on third-party data and can be wrong or incomplete. They are not a guarantee of any member’s identity, honesty, intentions or safety, and Clavesta doesn’t endorse any member.
12. Viewings and meeting in person
In short: Clavesta isn’t at viewings. Take normal precautions, and call 911 in an emergency.
An in-person viewing can be confirmed only when both parties are Clavesta Verified with clear, current safety checks, the buyer has an active Unlock, and both parties have accepted the viewing acknowledgment in the app. Video tours use a meeting link the seller provides.
- Clavesta isn’t present at viewings, doesn’t supervise them, and doesn’t vouch for any property’s condition or safety or any member’s conduct.
- Sellers are responsible for the safety of their home, including hazards and pets; should secure valuables, medications and firearms; must disclose any cameras; and must not record visitors’ audio without the consent the law requires.
- Buyers are responsible for their own conduct and any damage they cause, and may not inspect or test the home without the seller’s permission.
- No money, deposits or documents change hands at a viewing. Payments for a purchase go through escrow.
- “I feel unsafe” alerts the Clavesta team, who follow up by email. It is not an emergency service. If you’re in danger, call 911.
Assumption of risk and release. Meeting people you don’t know and visiting or opening a home involves risks, including risks of injury, property damage or loss. To the extent permitted by law, you voluntarily assume those risks and release Clavesta from claims arising out of viewings and meetings with other members, except claims caused by Clavesta’s gross negligence, willful misconduct, or any liability that can’t be released under applicable law.
13. Deal Path and term sheets
In short: Clavesta’s deal tools help you stay organized. A term sheet isn’t a contract.
- Deal Path. The Deal Path guides you step by step from match to closing and after, and tracks what you and the other party mark as done. Its steps, guidance and reminders are general and may not list everything your transaction needs (see section 15).
- Term sheets are non-binding. A term sheet records the terms you and the other party have in mind. It isn’t an offer, a purchase agreement, a loan, a commitment to lend, or a legal document, and either of you can walk away. Clavesta doesn’t recommend or set terms. A licensed attorney or title company prepares the actual contract.
- Documents. You’re responsible for documents you upload to a deal’s document vault and for having the right to share them. The other party can see and download them.
- Ending a deal. Either party can end a deal that hasn’t closed. Ending it closes the conversation and cancels open viewings; the reason is shared with the other party.
14. Electronic records and signatures
In short: you agree to sign and receive things electronically, and you can always download a copy.
Under the federal Electronic Signatures in Global and National Commerce Act (ESIGN) and state electronic transactions laws, you consent to use electronic records and signatures with Clavesta and other members. This covers these Terms, the background screening authorization, consents and acknowledgments, term sheets, notices (including legally required notices) and receipts. When you tick a box or type your name to sign in the app, that’s your electronic signature, with the same effect as a handwritten one.
- What you need: a device with a current web browser, a PDF reader, an email account, and the ability to save or print.
- Paper copies: you can download signed term sheets as PDFs and ask us for a paper copy of any record at support@clavesta.com, free of charge.
- Withdrawing consent: you can withdraw consent to electronic records by deleting your account or writing to us. Because the service is electronic-only, withdrawing means you can’t continue to use it; it doesn’t affect records signed before.
- Keep your email current: we send notices to the email address on your account.
15. Suggested providers and your closing
In short: we suggest places to start, but you choose your providers and close with them directly. We aren’t connected with them and get nothing from them.
The Deal Path guides you through the usual steps to closing. For some steps it lists providers you could contact, such as title or escrow companies, attorneys, licensed residential mortgage loan originators, loan servicers, inspectors, insurance agents and appraisers. These are suggestions only.
- Suggested providers are independent businesses. Clavesta isn’t affiliated with them, isn’t their agent, and has no agreement with them about you or your deal.
- Clavesta receives no referral fees, commissions or anything else of value from providers, suggested or not, and doesn’t mark up their fees.
- A suggestion isn’t an endorsement. Clavesta doesn’t guarantee any provider’s licensing, availability, services, fees or results, and isn’t liable for them. Check a provider yourself before you hire them.
- You can use any provider you like. You choose, contact and contract with providers directly, under their own terms, and they bill you directly. Clavesta doesn’t send them your information; you decide what to share with them.
- The steps, costs and timelines in the Deal Path are general guidance, not legal, tax or financial advice. They may not fit your state or your transaction, or list everything it needs; follow the advice of the licensed professionals you hire.
- Clavesta doesn’t check that a step actually happened. The Deal Path shows what you and the other party mark as done, so keep it accurate.
16. AI features and educational content
In short: our guides, calculators and AI features explain things; they’re not advice, and they can be wrong.
The Clavesta Guide, document summaries, mortgage-statement extraction, match explanations, feasibility scores, calculators and guides are for general education and convenience. They may be inaccurate, incomplete or out of date, and calculator results are estimates based on the inputs and assumptions shown. None of them is legal, tax, financial, lending or investment advice, a recommendation of terms, or an appraisal. Check important information against the source documents, and talk to a licensed attorney, CPA or loan originator before you act. AI never decides whether you can use a feature or whether a member is eligible.
17. Communications from us
In short: we’ll email you about your account and deals; marketing email is optional.
You agree that we may send you service emails and in-app notifications about your account, matches, messages, viewings, verification, safety checks, purchases and deals. You can turn off notification emails in Settings, but we’ll still send legally required notices (such as background-screening notices), security messages and receipts. Marketing emails are sent only with your permission, and you can unsubscribe at any time.
18. Your content
In short: you own what you post; you let us use it to run the service.
You keep ownership of the listings, photos, messages, documents and other content you submit (“your content”). You grant Clavesta a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process (including with automated and AI tools), adapt for display, and display your content, as needed to operate, secure, promote and improve the service. For published listings, this includes showing the teaser (city, price, terms, home facts and cover photo) on public pages and in search results. The license ends when your content is deleted, except for copies kept as described in the Privacy Policy and content you shared with other members, such as messages and deal documents.
You’re responsible for your content and promise you have the rights to share it and that it doesn’t violate the law or anyone’s rights. We may remove content that violates these Terms or the law.
19. Feedback
In short: ideas you send us, we may use.
If you send us suggestions or feedback, you agree that we may use them without restriction or compensation to you.
20. Clavesta’s intellectual property
In short: the service is ours; you may use it personally, as intended.
The service, including its software, design, text, guides, calculators, logos and the Clavesta name, belongs to Clavesta or its licensors and is protected by law. We give you a limited, personal, non-exclusive, non-transferable, revocable license to use the service for its intended purpose under these Terms. You may read, print and share links to our pages and quote short excerpts with a link back. You may not copy, modify, distribute, sell or reverse engineer the service, republish whole pages, or use our name or logo in a way that suggests we endorse you.
21. Third-party services
In short: some parts of Clavesta are provided by other companies under their own terms.
The service relies on third parties, including Stripe (payments), Persona (identity verification), a consumer reporting agency (safety checks), Google (sign-in, hosting and AI) and meeting services for video tours. Your use of their services may be subject to their terms and privacy policies. Providers you hire for your closing are covered insection 15. Guides link to government agencies and other sites. We aren’t responsible for third-party services, sites or content, except as the law requires.
22. Suspension and termination
In short: you can leave anytime; we can suspend accounts that break the rules or put people at risk.
You can stop using the service and delete your account at any time. We may warn you, limit features, unpublish listings, hide content, suspend or close your account, if we reasonably believe you violated these Terms or the Community Guidelines, created risk or possible legal exposure for others or for Clavesta, engaged in fraud, or if the law requires it. A suspended account can still read its information but can’t make changes. Where appropriate, we’ll tell you why and how to appeal to support@clavesta.com. If we close your account for a violation, fees already paid aren’t refunded; if we close it without cause, we’ll refund the unused part of an active Unlock. Sections that by their nature should survive (including fees owed, your content license for shared content, disclaimers, limitation of liability, indemnity and dispute resolution) survive termination.
23. Disclaimers
In short: we work hard on Clavesta, but we can’t promise it’s perfect or that any deal will happen.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. CLAVESTA DOESN’T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT LISTINGS, PROPERTY DATA, VALUE ESTIMATES, MATCHES, CALCULATIONS OR AI OUTPUT ARE ACCURATE OR COMPLETE. CLAVESTA DOESN’T GUARANTEE ANY MATCH, SALE, FINANCING OR CLOSING, OR THE IDENTITY, CONDUCT OR SAFETY OF ANY MEMBER.
Disputes between members. Your dealings with other members are solely between you and them. To the extent permitted by law, you release Clavesta from claims and damages arising out of those disputes. If you’re a California resident, you waive California Civil Code § 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
Some states don’t allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
24. Limitation of liability
In short: if something goes wrong, our liability is limited to what you paid us in the last year, or $100 if that’s more.
TO THE FULLEST EXTENT PERMITTED BY LAW, CLAVESTA AND ITS OFFICERS, EMPLOYEES, AGENTS AND SUPPLIERS WON’T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SAVINGS, LOSS OF DATA, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE, ANY TRANSACTION BETWEEN MEMBERS, OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY. CLAVESTA’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID CLAVESTA IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US $100.
These limits apply to every theory of liability and even if a remedy fails of its essential purpose. They don’t limit liability for Clavesta’s gross negligence, fraud or willful misconduct, for death or personal injury caused by Clavesta’s negligence, or any other liability that can’t be limited under applicable law, including your non-waivable rights as a consumer.
25. Indemnity
In short: if your conduct gets us sued, you cover the cost.
To the extent permitted by law, you’ll defend, indemnify and hold harmless Clavesta and its officers, employees and agents from claims, losses, liabilities and expenses (including reasonable attorneys’ fees) arising out of your content, your listings, your transactions or dealings with other members, your violation of these Terms or the law, or your violation of anyone’s rights. We may take control of the defense of any claim at our expense, and you’ll cooperate with us.
26. Dispute resolution and arbitration
In short: talk to us first. If we can’t resolve it, disputes go to individual arbitration (or small claims court), not class actions. You can opt out within 30 days.
Try to resolve it informally first
Before starting arbitration or a small claims case, you and Clavesta each agree to send the other a written notice describing the dispute and the relief sought, and to try in good faith to resolve it for 60 days. Send notices to legal@clavesta.com. We’ll send notices to the email address on your account. Deadlines to bring claims are paused during this period.
Agreement to arbitrate
Except as described below, you and Clavesta agree that any dispute, claim or controversy arising out of or relating to these Terms or the service, including its formation, scope and enforceability (except the class action waiver and the batch provisions below, which a court decides), will be resolved by binding individual arbitration, not in court. The Federal Arbitration Act governs this section. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, before a single arbitrator. The arbitration will take place in the county where you live or by video, or, for claims under $10,000, on written submissions if you prefer. The arbitrator may award the same individual relief a court could, and the award is final and may be entered in any court with jurisdiction.
Fees. Filing and arbitrator fees are paid as the AAA Consumer Arbitration Rules provide. If your claim is for $10,000 or less, Clavesta will reimburse your filing fee unless the arbitrator finds your claim frivolous. Each side pays its own attorneys’ fees unless the law or the arbitrator awards them.
Exceptions
- Small claims: either of us may bring an individual claim in small claims court in your county of residence, as long as it stays there.
- Intellectual property and misuse: either of us may seek an injunction in court to stop infringement or misuse of intellectual property or unauthorized access to the service.
- Public injunctive relief: a claim for public injunctive relief, where the law doesn’t allow it to be waived, will be decided by a court after any individual claims are arbitrated.
Class action and jury trial waiver
YOU AND CLAVESTA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON OR AWARD RELIEF TO ANYONE BUT THE INDIVIDUAL CLAIMANT. YOU AND CLAVESTA WAIVE ANY RIGHT TO A JURY TRIAL.
If this waiver is found unenforceable for a particular claim or form of relief, that claim or relief will be decided by a court, not an arbitrator, after individual arbitration of the remaining claims.
Mass filings
If 25 or more similar demands for arbitration are filed against Clavesta by or with the help of the same law firm or group, the AAA will administer them in batches of up to 50, with one arbitrator per batch, and the parties will cooperate to resolve them efficiently. Deadlines to bring claims are paused for demands waiting to be batched.
30-day right to opt out
You can opt out of this arbitration agreement by emailing legal@clavesta.comwithin 30 days after you first accept these Terms, with your name, the email address on your account, and a clear statement that you opt out of arbitration. Opting out doesn’t affect any other part of these Terms or any earlier arbitration agreement with us.
Changes to this section
If we change this section, the change won’t apply to a dispute we already had notice of, and you may reject it by emailing legal@clavesta.com within 30 days after the change takes effect, in which case the version you last accepted continues to apply.
27. Governing law
In short: the law of the state where you live applies.
The Federal Arbitration Act and applicable federal law, and otherwise the laws of the state where you live, without regard to conflict-of-laws rules, govern these Terms and any dispute. Any claim that isn’t arbitrated and isn’t in small claims court will be brought only in the state or federal courts for the county where you live, and you and Clavesta consent to their personal jurisdiction.
28. Changes to these Terms
In short: we’ll tell you before important changes take effect.
We may update these Terms as the service changes. We’ll post the new version with a new “Last updated” date. For material changes, we’ll notify you by email or in the app at least 30 days before they take effect and may ask you to accept them again. Changes don’t apply retroactively, and purchases already made keep the terms that applied when you bought them. If you don’t agree to a change, stop using the service and delete your account; continuing to use it after the change takes effect means you accept it.
29. General terms
In short: the standard legal fine print.
- Entire agreement: these Terms, with the Privacy Policy, Community Guidelines and in-app notices, are the entire agreement between you and Clavesta about the service.
- Severability: if any part is unenforceable, the rest stays in effect, and that part is enforced to the maximum extent allowed (subject to the class action waiver section).
- No waiver: not enforcing a right isn’t a waiver of it.
- Assignment: you can’t transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition or sale of assets, or to an affiliate.
- Force majeure: we aren’t liable for delays or failures caused by events beyond our reasonable control, including outages of our providers.
- No agency: nothing in these Terms creates a partnership, joint venture, employment, agency or fiduciary relationship between you and Clavesta.
- Mobile apps: if you get the app from an app store, the store isn’t a party to these Terms and isn’t responsible for the app, but it’s a third-party beneficiary entitled to enforce these Terms against you as they relate to the app.
- California users: under California Civil Code § 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
